Location: Kitchener, ON/Greater Toronto Area/Calgary, AB
Responsibilities:
- Set up and monitor corporate entities, including their creation, merger, reorganization, and dissolution across various countries
- Work with and support in-house legal teams, business units, and external lawyers globally.
- Apply strong organizational skills to keep contract management orderly, including tracking contractual obligations and regulatory submissions.
- Aid in the implementation of policies and execution of procedures related to compliance issues, such as ABAC, privacy, and confidentiality agreements.
- Oversee project management for various initiatives within the legal department.
- Review, draft, and negotiate a variety of contracts, including non-disclosure agreements, vendor agreements, and supplier contracts across different departments.
- Manage the completion of transaction closings, ensuring all necessary documentation is accurate and compliant.
- Collaborate closely with internal teams and external legal counsel to ensure compliance with legal and regulatory requirements, fostering effective communication and teamwork.
- Efficiently organize and maintain legal records, ensuring they are easily accessible to the legal team.
Requirements:
- Minimum 5 years of corporate paralegal experience within a large law firm
- Paralegal certification is an asset
- Undergraduate degree or equivalent work experience
- Strong knowledge regarding compliance and regulatory framework
