Legal Counsel

Job Summary: We are seeking a highly skilled Legal Counsel with expertise in Mergers and Acquisitions (M&A) to join our dynamic legal team. The ideal candidate will provide comprehensive legal support and advice on M&A transactions, ensuring compliance with relevant laws and regulations, and mitigating legal risks.

Key Responsibilities:

• Provide expert legal advice and support on M&A transactions, including due diligence, structuring, negotiation, and documentation.
• Draft, review, and negotiate a wide range of transaction documents, including purchase agreements, merger agreements, and confidentiality agreements.
• Conduct and coordinate legal due diligence processes, identifying potential legal risks and advising on mitigation strategies.
• Collaborate with internal stakeholders and external advisors to ensure smooth execution of transactions.
• Stay updated on relevant laws, regulations, and industry trends affecting M&A activities.
• Represent the company in negotiations and liaise with external legal counsel, regulators, and other parties.
• Assist in the development and implementation of corporate legal strategies and policies.
• Provide training and guidance to junior legal staff on M&A-related matters.

Qualifications:

• Law Degree
• 8-10 years of experience
• Proven experience as a legal counsel in Corporate M&A.
• Experience in Banking & FInance - handled loan documents.
• Strong knowledge of corporate law, securities law, and M&A regulations.
• Involvement in running transactions such as M&A, Companies loans, Restructuring, Acquiring new business & etc.
• Experience in drafting constitutional documents.
